Welcome to Midstage Accelerator (“we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, https://www.midstage.org (the “Site”), and any related services, programs, or content provided by Midstage Accelerator (collectively, the “Services”).By accessing or using our Site or Services, you agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”). 1. About Midstage Accelerator

Midstage Accelerator provides educational and coaching programs to help startup founders and executive teams scale their technology companies. Our programs, including the Breakthrough Funnel and Scaling Cohort, are designed for companies with established revenue that aim to accelerate growth responsibly and sustainably.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement under applicable law.
By using our Site or participating in our programs, you represent that you meet these eligibility requirements.

3. Use of the Site and Services

You agree to use our Site and Services only for lawful purposes. You may not:

  • Copy, reproduce, or redistribute content without our written consent;
  • Attempt to gain unauthorized access to our systems or data;

Some of our Services—such as coaching programs or cohorts—require an application and acceptance. Acceptance into a program is at our sole discretion.

All program fees are stated in USD unless otherwise specified. Payment terms (including deposits, due dates, and installment options) are outlined during checkout or in your agreement with us.

You are responsible for any currency conversion fees, international transfer charges, or applicable taxes.

5.3 Refund Policy

Refund eligibility is stated in the specific program agreement or offer page. Unless otherwise specified in writing, all payments made for Services are non-refundable due to the nature of limited-capacity, high-touch coaching engagements.

Midstage Accelerator serves clients globally. You are responsible for ensuring that your participation and payment comply with your local laws and regulations.

Accessing our Services from jurisdictions where the content or activities are restricted is done at your own risk.

Participation in any Midstage Accelerator program does not guarantee financial results or startup success.

10. Limitation of Liability

To the fullest extent permitted by law, Midstage Accelerator, its officers, employees, and partners shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Site or Services.

Our total liability, whether in contract, tort, or otherwise, shall not exceed the total amount you have paid to us for the Service giving rise to the claim within the previous twelve (12) months.

11. Indemnification

You agree to indemnify, defend, and hold harmless Midstage Accelerator, its affiliates, and personnel from any claim, loss, or expense (including attorney fees) arising out of your violation of these Terms or misuse of the Site or Services.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to them, the Site, or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

14.1 Informal Resolution

Before pursuing formal legal action, both parties agree to first attempt to resolve any dispute or claim in good faith through informal discussions. Either party may initiate this process by providing written notice to the other describing the nature of the dispute and the desired outcome.

If the dispute is not resolved within 30 days of the initial notice, either party may proceed with arbitration as outlined below.

14.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the Services (including the interpretation, performance, or breach thereof) shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect.

  • The arbitration shall take place virtually (via video conference) or, if necessary, in Delaware, USA.
  • The language of the arbitration shall be English.
  • Each party shall bear its own legal fees, unless otherwise determined by the arbitrator.
  • The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

14.3 Exceptions

Either party may bring an action in a court of competent jurisdiction solely for:

  • Injunctive or equitable relief to prevent actual or threatened misuse of intellectual property, confidential information, or data; or
  • Enforcement of an arbitration award.

14.4 Jurisdiction

Subject to the arbitration clause above, both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware, USA, for any permitted judicial proceedings.

14.5 International Users

If you access or use our Site or Services from outside the United States, you agree that any disputes shall be subject to the laws and dispute resolution mechanisms described in this section, regardless of your country’s laws or jurisdiction.

15. Entire Agreement

These Terms, together with our Privacy Policy and any specific program agreements, constitute the entire agreement between you and Midstage Accelerator regarding your use of our Site and Services.
